Our Terms
These Terms and Conditions govern the services provided by Industrial Gates & Barrier Systems Ltd (or “IGB Systems”, “we”, “us”) to any individual or business engaging us for installations, call-out repairs, servicing or planned preventative maintenance.
By requesting a quote or instructing us to carry out any work, you agree to be bound by these terms.

TERMS & CONDITIONS

Basis of Sale
1. When an order has been made, Industrial Gates & Barrier Systems Ltd (IGB Systems) can reject it for any reason.
2. Any quotation is valid for a maximum period of 1 (one) month.
3. Prices exclude VAT and other sales taxes and duties.
Delivery
4. Included if agreed. Approximately within 20 working days from the date of receipt of deposit payment and definition of all design specifics (excluding bank holidays).
5. If delivery of any Goods has not been made 30 days after the agreed time, the Customer shall be entitled to rescind the contract in respect of those Goods and return them, and the liability of Industrial Gates & Barrier Systems shall be limited to a cancellation of the price due for those which have not been accepted by the Customer.
6. The Customer shall be deemed to have accepted Goods 5 days after their delivery. After acceptance, the Customer shall not be entitled to reject Goods which are not in accordance with the Contract.
7. Industrial Gates & Barrier Systems will deliver the Goods to the Delivery location by the time or within the period, agreed in the Contract, or failing any agreement, without undue delay.
8. If the customer or its nominee fails, through no fault of Industrial Gates & Barrier Systems, to take delivery of the Goods at the Delivery Location, Industrial Gates & Barrier Systems can charge the reasonable costs of storing and redelivering them.
9. Any claim that Goods have not been delivered must be notified in writing to Industrial Gates & Barrier Systems no later than 5 Working Days.
Installation
10. At Industrial Gates & Barrier Systems expense if included (excluding panel power supply).
Price and Payments
11. 50% deposit required to process the order and full payment strictly within 30 days (unless otherwise agreed in writing) from date of invoice.
12. All parts remain property of Industrial Gates & Barrier Systems Ltd until payment is made in full, we reserve the right to reclaim any parts after payment deadline is missed.
13. If the Customer fails to make any payment when due, without affecting any other rights which it may have, Industrial Gates & Barrier Systems shall be entitled to exercise all or any of the following rights:
13A. suspend production and/or deliveries of Goods and/or performance of Services until paid;
13B. charge interest on the overdue amount at rate of 8% per annum above the official Bank of England Rate from time to time which shall accrue from day to day (both before and after any judgement) from the due date until payment in full is received by Industrial Gates & Barrier Systems Ltd or, if higher, equal to compensation and interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (as amended).
Risk and Title
14. Risk of loss of or damage to the Goods shall pass to the Customer at the time of the delivery of the Goods.
15. Industrial Gates & Barrier Systems will still own the Goods, regardless of delivery, until the Customer has paid Industrial Gates & Barrier Systems in full for those Goods and VAT thereon, and all other sums due from the Customer to Industrial Gates & Barrier Systems at that time, provided that the property in the Goods can pass from Industrial Gates & Barrier Systems upon such property passing to the Customer’s buyer in the manner permitted below.
16. While Industrial Gates & Barrier Systems still owns any of the Goods, the Customer:
16A. will hold those Goods on a fiduciary basis as Industrial Gates & Barrier System’s property and on the Industrial Gates & Barrier Systems’s behalf as bailee and depository for Industrial Gates & Barrier Systems;
16B. can use or resell those Goods on its own account in its ordinary course of trade to its usual type of customers only, but (in addition to Industrial Gates & Barrier Systems other rights) this right will terminate immediately if any step occurs towards an Insolvency Event;
16C. must not otherwise deal with, pledge, encumber (except by floating charge), sell or dispose of those Goods.
17. If any step is taken towards any Insolvency Event or if the Customer is overdue in any payment due, all sums shall become immediately due and payable and the Industrial Gates & Barrier Systems can choose, by immediate notice to the Customer, to end the Customer’s right, if still continuing, to use or resell the Goods still owned by Industrial Gates & Barrier Systems, enter any place to recover the Goods, and suspend or cancel any deliveries, and Industrial Gates & Barrier Systems shall be entitled upon demand to the immediate recovery of all those Goods. The Customer irrevocably gives Industrial Gates & Barrier Systems authority to enter any place to recover those Goods. Such recovery shall not cancel the Customer’s obligation to pay the price for those Goods, provided that Industrial Gates & Barrier Systems must make a fair allowance for the value of any Goods which Industrial Gates & Barrier Systems has recovered.
Unintended Works
18. Any additional interventions that are requested during attending will be counted separately, after sending a written quote to be returned, for confirmation and acceptance.
Works at Customer’s charge
19. Permits, authorisations and licenses; flooring, foundations, masonry in general, laying of ground guides (the space / yard must be made suitable by the Customer for installation); preparation of power sockets on site and electrical lines for product testing, connection to the system is to be carried out with your electrician; unloading goods from trucks and work area positioning; site availability and accessibility; reception and storage of materials, lifting equipment for assembly such as crane trucks, lift trucks, platforms, etc. and related operators that may serve; waste disposal or materials removed, packaging of any kind. The above described, unless otherwise specified in the content of the offer. If the interventions to be carried out at your expense were not carried out before our intervention on site, such as to create obstruction, slowdown or suspension of assembly work, you will be charged for the costs incurred by Industrial Gates & Barrier Systems.
Invoice in case of stock
20. We inform that an invoice will be issued within the month foreseen for the delivery date, even in the event of storage at our warehouse, in the event that the delivery could not be done due to construction delays attributable to the Customer or any delay not attributable to Industrial Gates & Barrier Systems. The agreed payment deadlines will start from the invoice issue date.
Health & Safety
21. Pursuant to the Health and Safety at Work Act 1974 and subsequent amendments and additions, we await detailed information on the specific risks existing in the environment in which we will go to operate in addition to the prevention and emergency measures adopted in relation to your activity. Failure to present, within 15 days of receipt of the order, of the information on specific risks and on prevention and emergency measures, it appears to be communication from you of the absence of specific induced risks. In any case, during the work, we will work to coordinate with you to ensure the safety of your and our work. To carry out our assembly works, we need flooding availability of a work area with a free perimeter of at least 8 meters, to be committed exclusively with our staff and equipment, in which your employees do not will be able to access. Where the need arises, we kindly ask you to place us arrangement of a forklift truck driven by your forklift driver.
Warranty
22. All new products carry a 1-year manufacturer and installation warranty.
Maintenance and Repairs
23. If it is necessary to carry out repairs on the product, the Customer must immediately inform Industrial Gates & Barrier Systems that will provide the necessary indications and will define the modalities for intervening and anyway: in these cases, the Customer will not be able to claim compensation for any damage. In case of repairs carried out directly by the Customer, without prior notice and authorisation from Industrial Gates & Barrier Systems, all commercial guarantees to any title will forfeit and all Industrial Gates & Barrier Systems responsibilities regarding safety and defective product will lapse.

Duration and Termination
25. This Agreement will end with the payment of all the payments due.
26. This Agreement termination will not affect either party’s accrued rights.
27. Other than set out in this Agreement, neither party will have any further obligation to the other under this Agreement after its termination.
Governing law and jurisdiction
28. This Agreement is governed and interpreted by the law of England and Wales. All disputes Arising under this Agreement will be subject to the exclusive jurisdiction of the English and Welsh courts.
Additional notes
29. Should unexpected issues arise during the survey/inspection phase or when receiving data, this agreement will be modified accordingly and any order sent to it is cancelled and replaced with a new order appropriate to the necessary changes; what is offered to the Customer is manufactured according to our design standards, therefore, possible specific requests must be discussed and evaluated during negotiations and highlighted on the purchase order; anything not expressly mentioned must not be considered as chargeable to Industrial Gates & Barrier Systems.
